Welcome to Vocallab AI. These Terms & Conditions (“Terms”) govern your access to and use of our website, AI voice generation tools, and all related services available at https://vocallab.ai. By using Vocallab AI, you agree to these Terms. If you do not agree, you must discontinue use of the Service.

1. Eligibility

You must be at least 18 years old to use Vocallab AI. By accessing the Service, you confirm that you meet this requirement.

2. Accounts & Security

To access premium features or store audio files, you may need to create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Providing accurate and lawful information
• Ensuring your account is used only by you — credentials may not be shared with any other person or entity

3. Subscriptions & Payments

Vocallab AI offers subscription plans and credit-based usage. Payments are securely processed via Lemon Squeezy.

• You authorize recurring automatic billing until cancellation.
• You may cancel anytime; access remains until the end of the billing cycle.
• No refunds are issued for partial billing periods unless required by law or covered by our Refund Policy.
• Promotions or trial credits may change or expire at any time and do not apply to Lifetime Deal purchases.

4. Lifetime Deal Terms

If you purchased access to Vocallab AI through a third-party marketplace (such as AppSumo), the following additional terms apply:

• "Lifetime" means the operational lifetime of the Vocallab AI service — not the purchaser's literal lifetime.
• Lifetime Deal (LTD) access is granted to the individual purchaser only and is strictly non-transferable and non-resaleable.
• One LTD code activates one account. Creating multiple accounts with a single code, or sharing account credentials with other users, is prohibited and may result in immediate termination without refund.
• Refunds for LTD purchases are governed solely by the refund policy of the marketplace where the purchase was made (e.g., AppSumo's 60-day refund window). After that window closes, LTD purchases are final and non-refundable.
• LTD access includes the features available at the purchased tier at the time of purchase. We reserve the right to adjust, retire, or replace plan tiers with at least 60 days advance notice.
• LTD holders are not automatically entitled to future paid add-ons, higher-tier plan features, or new credit packs introduced after the date of purchase.
• In the event of service discontinuation, we will provide LTD holders a minimum of 60 days advance written notice. No refunds will be issued for remaining lifetime access upon discontinuation.
• We reserve the right to suspend or terminate LTD accounts that violate these Terms, engage in abuse, or circumvent usage limits, without any obligation to refund.

5. Acceptable Use & User Conduct

By using Vocallab AI, you agree NOT to:

• Generate voices intended to impersonate real people without their explicit consent
• Use the platform for harassment, fraud, deception, deepfakes, or the creation or spread of misinformation
• Upload or generate content that violates copyright, applicable law, or third-party rights
• Attempt to reverse-engineer, scrape, or misuse the Service or its underlying AI models
• Resell, sublicense, or commercially redistribute generated audio or access to the Service without written authorization
• Use automated tools, bots, or scripts to exploit or overload the Service

We reserve the right to suspend or permanently terminate accounts that violate these policies, with or without prior notice, and without obligation to issue a refund.

6. Fair Use & Usage Limits

To ensure fair access for all users, the following usage limits apply:

• Each subscription plan or Lifetime Deal tier includes a defined monthly generation allowance (measured in minutes of audio). Unused allowance does not roll over unless otherwise stated.
• Accounts that display abnormal, automated, or disproportionate usage may be throttled, rate-limited, or suspended.
• Commercial reselling of AI-generated audio at scale, or use of the Service as the backend of an unlicensed competing product, is prohibited.
• We reserve the right to adjust fair use thresholds with reasonable notice to ensure platform stability and availability for all users.

7. Intellectual Property

All software, branding, code, AI models, and content available on Vocallab AI are protected by copyright and intellectual property laws. You may not reproduce, redistribute, or resell any part of the Service without prior written authorization from Vocallab AI.

8. Voice Generation & User Content

By uploading audio or generating content with Vocallab AI:

• You retain ownership of your text inputs and the audio files you generate.
• You grant Vocallab AI a limited, non-exclusive license to process your inputs solely for the purpose of generating the requested output.
• You confirm that your content does not violate any third-party rights.
• You acknowledge that generating a voice likeness of any real person without their documented consent may violate applicable laws and is strictly prohibited.

9. Account Termination & Service Discontinuation

We may suspend or terminate accounts that violate these Terms, misuse the platform, or engage in illegal activity. In the event we discontinue the Vocallab AI service entirely, we will provide at least 60 days written notice to all registered users. No refunds will be issued solely on account of service discontinuation.

10. Disclaimer of Warranties

Vocallab AI is provided "as is" without warranties of any kind. We do not guarantee uninterrupted service, accuracy of AI voices, or compatibility with all devices or use cases. Your use of the Service is at your own risk.

11. Limitation of Liability

To the fullest extent allowed by applicable law, Vocallab AI and its affiliates are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to data loss, service interruptions, financial loss, reputational harm, or misuse of generated audio. Our total aggregate liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law principles. Any dispute not resolved by good-faith negotiation within 30 days of written notice shall be submitted to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel.

13. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at support@vocallab.ai with a written description of your dispute and the resolution you seek. We will attempt to resolve the matter in good faith within 30 days. If unresolved, the dispute shall be submitted to binding arbitration or the competent courts of Tel Aviv, Israel, unless applicable consumer protection law in your jurisdiction grants you the right to bring a claim in your local courts.

14. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days advance notice via email or a prominent notice on the Service. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms.
